General Terms and Conditions / Data protection B2B

These General Terms and Conditions (hereinafter “GTC”) shall apply as a binding basis for LIVE-ONLINE-SEMINARS, 1on1 SESSIONS and CONSULTING (hereinafter “Workshops”) offered by Marisa Toldo / Space your Place®, Lohmühlenstraße 65, 12435 Berlin (hereinafter “Space your Place®”) to businesses (hereinafter “Customer”) as defined in Section 14 BGB (German Civil Code) who book the WORKSHOPS for their workforce, including CEOs etc.
Conflicting, different or supplementary general terms and conditions are not acknowledged and shall nor become part of the agreement.

The WORKSHOPS can be booked per email addressed to marisa@spaceyourplace.com or via Facetime, Google Hangouts, Skype, WhatsApp.
Space your Place® will send a confirmation of receipt in a timely manner and will propose possible dates for the WORKSHOP with a fixed maximum number of participants.
After Space your Place® has received the payment the final confirmation will be send to Customer notifying that the order has been completed. Only then does a contract come into existence between Space your Place® and Customer.
After the contract is concluded Customer gets an email with the login data for the participants. Customer is obliged to ensure that only the number of participants agreed upon get the login data. Customer ensures that the participants treat the login data confidentially and do not give access to others within or without the business entity of the Customer. Customer is liable for any damage deriving from the breach of confidentiality of login data. Customer is informed that Space your Place® WORKSHOPS are online only and not based on knowledge of the locality/place of the Customer.

Booking fees are individually agreed upon. VAT has to be added if applicable.
Invoices will be send to the truthfully given email address of customer. Payments have to be made within seven days upon receiving (during normal office hours or from the next day) the invoice (during normal office hours, if received after 6 pm local time from the very next day). Terms for discounts may be individually agreed upon via email.

Withdrawing from or transferring to another Workshop is possible up to 14 days before the event free of charge. Thereafter the entire fee for the Workshop in question has to be paid.
Customer can exchange participants who are part of his business entity without consulting Space your Place®. Space your Place® is not obliged to adjust the fee if fewer than the before agreed upon number of participants attend the Workshop. Customer has to pay the fee for the agreed upon number of participants.

An event may be cancelled for good cause, such as e.g. failure or illness of the lecturer, or force majeure. In any case Space your Place® will notify you as soon as possible of a failure.
Space your Place® will fully reimburse already paid fees within 7 days upon cancellation. In case of cancellation Space your Place® is not liable for any damages in excess of the before mentioned reimbursement of already paid fees.

Customer or, in case of home office, each participant must meet the minimum requirements (internet connection, current browser version, download a program for the Workshop – only if necessary and advised to do by Space your Place® - speakers or headset) and test these before the Workshop begins.
Failure to meet the technical requirements for which Customer or the participants are responsible does not release Customer from the contractual obligation to pay.

Within the Workshop copyright protected works or trademarks of Space your Place® may be used. These are exclusively owned by Space your Place®. Apart from that Customer is allowed to use the information given in the Workshop within his or her business entity.
The recording of the Workshops is not allowed. Space your Place® has all the rights, copyright and copyright related rights regarding the Workshops which are not assigned with this contract.
Documents provided for the Workshop are also protected by copyright and may not be reproduced in any way, whether in full or in part, disseminated or made available on the Internet, whether in full or in part, without the prior consent of Space your Place®.
Space your Place® ensures that the Workshops conform to the relevant DIN standards (https://www.din.de/en/about-standards/din-standards).

The data of Customer will be processed in compliance with applicable data protection legislation and will not be forwarded to third parties.
Space your Place® will not ask for personal data of participants who may login with their aliases. Space your Place® will not process data of the participants or forward these to third parties. Though Space your Place® may record the Workshop for quality insurance if the respective participants agree with that prior to the recording.

Space your Place® is liable for damages only if they are caused wilfully or through gross negligence by a legal representative of our partners, employees or vicarious agents.
This limitation of liability shall not apply to loss of life, personal injury or damage to health caused by a wilful or negligent breach of duty on the part of Space your Place®, its legal representatives, partners, employees, or vicarious agents.

These GTC as well as the relationship between you and Space your Place® shall be governed exclusively by German law. UN-Contract Law and International Private Law are excluded.
The nullity of any provision of these Terms of Use shall not affect the validity of the remaining provisions.
